1. Introduction and Acceptance
Welcome to DILO (www.dilo.hu), an online car auction platform operated by DILO Kft., a company registered in Hungary (Company Registration Number: 01-09-XXXXXX, VAT Number: HU-XXXXXXXX) with its registered office at 1051 Budapest, Nador utca 21, Hungary ("Company", "we", "us", or "our").
These Terms of Service ("Terms") govern your access to and use of our website, mobile applications, and services (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy and Cookie Policy.
If you do not agree to these Terms, you may not access or use the Platform.
2. Definitions
- "Listing" means an advertisement for a Vehicle posted on the Platform by a Seller.
- "Offer" means an offer made by a Buyer to purchase a Vehicle at a specified price.
- "Buyer" means a User who makes Offers on or purchases Vehicles through the Platform.
- "Buyer's Premium" means the fee payable by the Buyer in addition to the final Offer amount.
- "Reserve Price" means the minimum price set by a Seller below which they are not obligated to sell.
- "Seller" means a User who lists Vehicles for sale on the Platform.
- "User" means any person or entity who accesses or uses the Platform.
- "Vehicle" means any motor vehicle listed for sale on the Platform.
3. Eligibility and Registration
3.1 Eligibility Requirements
To use the Platform, you must:
- Be at least 18 years of age or the age of majority in your jurisdiction;
- Have the legal capacity to enter into binding contracts;
- Not be prohibited from using the Platform under applicable laws;
- If acting on behalf of a business, have authority to bind that business to these Terms.
3.2 Account Registration
To access certain features of the Platform, including placing Bids and listing Vehicles, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration;
- Maintain and promptly update your account information;
- Keep your login credentials confidential and secure;
- Notify us immediately of any unauthorized access to your account;
- Accept full responsibility for all activities that occur under your account.
3.3 Identity Verification
We may require identity verification before allowing certain activities on the Platform. This may include providing government-issued identification, proof of address, or other documentation as required by anti-money laundering (AML) regulations. We reserve the right to refuse service or terminate accounts that fail verification.
4. Platform Services
4.1 Nature of Services
DILO operates as an online marketplace that facilitates transactions between Buyers and Sellers of Vehicles. We are not a party to any transaction between Users. We do not take ownership of any Vehicle, nor do we guarantee the condition, legality, or quality of any Vehicle listed.
4.2 No Guarantees
We do not guarantee:
- The accuracy of any Listing information provided by Sellers;
- The condition, safety, legality, or quality of any Vehicle;
- The ability of Sellers to complete sales or Buyers to complete purchases;
- The title or ownership status of any Vehicle;
- That the Platform will be available without interruption or error-free.
5. Seller Terms and Conditions
5.1 Listing Requirements
As a Seller, you represent, warrant, and agree that:
- You are the legal owner of the Vehicle or are authorized by the owner to sell it;
- The Vehicle is free from any liens, encumbrances, or legal disputes;
- All information provided about the Vehicle is accurate, complete, and not misleading;
- You will disclose all known defects, damage, accidents, mechanical issues, or other problems;
- You will upload clear, accurate, recent, and unedited photographs of the Vehicle;
- The Vehicle's odometer reading is accurate and has not been tampered with;
- You will comply with all applicable laws regarding vehicle sales, including consumer protection laws.
5.2 Listing Fees and Commissions
Sellers agree to pay the applicable listing fees and sales commissions as published on our Pricing page. Fees are non-refundable unless otherwise stated. We reserve the right to update our fee structure with 30 days' notice to registered Users.
5.3 Auction Rules
- Once an Auction ends and the Reserve Price (if any) has been met, the sale is legally binding and the Seller must complete the transaction;
- Sellers may set a Reserve Price. The existence of a Reserve will be disclosed (but not the amount);
- Shill bidding is strictly prohibited. Sellers may not bid on their own Vehicles or have others bid to artificially inflate the price;
- Sellers must respond to Buyer inquiries within 48 hours during the Auction period;
- Sellers are responsible for arranging Vehicle handover and providing all necessary documents for transfer of ownership.
5.4 Prohibited Listings
The following may not be listed on the Platform:
- Stolen vehicles or vehicles with unclear ownership history;
- Vehicles that cannot be legally registered or driven on public roads;
- Vehicles with undisclosed salvage, flood, or fire damage;
- Vehicles involved in ongoing legal disputes or criminal investigations;
- Vehicles with rolled-back or tampered odometers;
- Any items other than motor vehicles without prior written approval.
6. Buyer Terms and Conditions
6.1 Making Offers
As a Buyer, you understand and agree that:
- Each Offer is a legally binding offer to purchase the Vehicle at the Offer amount plus any applicable Buyer's Premium;
- Offers cannot be retracted once placed;
- You must have the financial ability and genuine intention to complete any purchase for which you make an Offer;
- If you are the winning Buyer and any Reserve Price is met, you are obligated to complete the purchase;
- You are responsible for conducting your own due diligence on any Vehicle before making an Offer;
- You should inspect the Vehicle in person or arrange an independent inspection before making an Offer.
6.2 Buyer's Premium
A Buyer's Premium is added to the final winning Offer amount. The current Buyer's Premium rate is displayed on each Listing and our Pricing page. This fee must be paid in addition to the winning Offer amount.
6.3 Payment Terms
- Payment must be made within 7 business days of winning the Auction unless otherwise specified;
- Accepted payment methods are displayed on the Platform (bank transfer, credit card via Stripe);
- Failure to complete payment may result in account suspension, negative feedback, legal action, and liability for the Seller's losses;
- All payments are processed securely through our payment provider, Stripe. We do not store complete payment card details.
6.4 Vehicle Collection
- Buyers are responsible for arranging and paying for Vehicle collection or delivery;
- Vehicles must be collected within 14 days of payment unless otherwise agreed with the Seller;
- Risk of loss or damage passes to the Buyer upon collection of the Vehicle;
- Buyers should inspect the Vehicle carefully upon collection and note any discrepancies immediately.
7. Fees, Payments, and Refunds
7.1 Fee Structure
Our current fees include listing fees, success fees (commission on successful sales), and Buyer's premiums. Full details are available on our Pricing page. All fees are quoted in Euros (EUR) or Hungarian Forints (HUF) and are inclusive of VAT where applicable.
7.2 Payment Processing
Payments are processed through Stripe, a PCI-DSS compliant third-party payment processor. By using our Platform, you agree to Stripe's terms of service. We never store complete credit card numbers on our servers.
7.3 Refund Policy
- Listing fees are generally non-refundable once the Listing is published;
- Success fees are non-refundable once a sale is completed;
- Refunds may be considered for technical errors on our part;
- Disputes between Buyers and Sellers regarding the Vehicle condition or transaction must be resolved between the parties;
- We may assist in mediation but are not obligated to provide refunds for disputes between Users.
8. Right of Withdrawal (EU Consumers)
Under EU consumer protection law, consumers have a 14-day right of withdrawal for certain distance contracts. However, please note:
- Vehicle purchases between private parties (consumers) are generally not subject to the right of withdrawal;
- If you are purchasing from a professional Seller (business), different rules may apply;
- Service fees (listing fees, Buyer's premiums) for digital services may be non-refundable if the service has been fully performed with your consent;

9. Prohibited Conduct
Users are strictly prohibited from:
- Providing false, misleading, or fraudulent information;
- Engaging in shill bidding, bid manipulation, or collusion;
- Circumventing or manipulating the auction process;
- Harassing, threatening, defaming, or abusing other Users;
- Using the Platform for any illegal purpose, including fraud or money laundering;
- Attempting to gain unauthorized access to the Platform or other Users' accounts;
- Distributing malware, viruses, or other harmful code;
- Scraping, harvesting, or collecting data from the Platform without written permission;
- Interfering with the proper functioning of the Platform;
- Creating multiple accounts to circumvent restrictions, bans, or fees;
- Posting content that infringes intellectual property rights of others;
- Posting inappropriate, offensive, or illegal content.
10. Intellectual Property
10.1 Platform Content
All content on the Platform, including but not limited to text, graphics, logos, images, software, and the compilation thereof, is the property of DILO Kft. or its licensors and is protected by copyright, trademark, and other intellectual property laws of Hungary, the European Union, and international treaties.
10.2 User Content License
By posting content on the Platform (including Listing information and photographs), you grant us a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, translate, and display such content for the purpose of operating, promoting, and improving the Platform. This license continues even if you close your account, but only for content that was shared publicly or with other Users.
10.3 Trademarks
DILO, our logo, and other marks displayed on the Platform are trademarks of DILO Kft.. You may not use these marks without our prior written consent.
11. Disclaimer and Limitation of Liability
11.1 Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
11.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DILO KFT. AND ITS DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM OR ANY TRANSACTION CONDUCTED THROUGH IT.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY YOU TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) €500.
11.3 Consumer Rights Preserved
Nothing in these Terms affects your statutory rights as a consumer under Hungarian law or applicable EU consumer protection directives. Where you are acting as a consumer, the limitations in this section apply only to the extent permitted by applicable mandatory law. In particular, we do not exclude liability for death or personal injury caused by our negligence, fraud, or fraudulent misrepresentation.
12. Indemnification
If you are a business User (not a consumer), you agree to indemnify, defend, and hold harmlessDILO Kft., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of the Platform in breach of these Terms;
- Your violation of any applicable law or regulation;
- Your violation of any rights of another party;
- Any Vehicle you list or sell that is misrepresented, defective, or not legally yours to sell;
- Any content you post or submit to the Platform.
13. Dispute Resolution
13.1 Disputes Between Users
Disputes between Buyers and Sellers should first be attempted to be resolved directly between the parties. We may, at our discretion, offer mediation services to help resolve disputes but are not obligated to do so and are not responsible for the outcome.
13.2 Disputes With the Company
Any dispute arising from these Terms or your use of the Platform shall first be attempted to be resolved through good faith negotiations by contacting us at legal@dilo.hu. If negotiations fail within 30 days, the dispute may be submitted to the competent courts.
13.3 EU Online Dispute Resolution
If you are a consumer in the European Union, you may use the EU Online Dispute Resolution (ODR) platform to resolve disputes online. The ODR platform is available at: https://ec.europa.eu/consumers/odr

13.4 Complaints
Complaints should be submitted in writing to support@dilo.hu. We will acknowledge receipt within 5 business days and aim to resolve complaints within 30 days.
14. Termination
14.1 Termination by You
You may terminate your account at any time by contacting us at support@dilo.hu or through your account settings. Termination does not relieve you of any obligations incurred before termination, including payment obligations for completed transactions.
14.2 Termination by Us
We may suspend or terminate your account immediately if:
- You breach these Terms;
- We suspect fraudulent, illegal, or harmful activity;
- You fail to pay fees when due;
- We receive repeated complaints from other Users;
- Required by law enforcement or government agencies;
- We decide to discontinue the Platform (with reasonable notice).
14.3 Effect of Termination
Upon termination, your right to use the Platform ceases immediately. Any active Listings will be removed, but existing transaction obligations must be completed. Provisions that should survive termination (intellectual property, disclaimers, limitations of liability, indemnification) remain in effect.
15. Governing Law and Jurisdiction
15.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of Hungary, without regard to its conflict of law principles. For consumers habitually resident in the EU, mandatory consumer protection laws of your country of residence shall also apply to the extent they provide greater protection.
15.2 Jurisdiction
For business Users, disputes shall be subject to the exclusive jurisdiction of the courts of Budapest, Hungary. For consumers, you may bring proceedings in the courts of your country of residence or Hungary.
16. General Provisions
16.1 Entire Agreement
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and DILO Kft. regarding your use of the Platform, superseding any prior agreements.
16.2 Severability
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
16.3 No Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
16.4 Assignment
You may not assign or transfer these Terms or your rights without our prior written consent. We may assign these Terms without restriction in connection with a merger, acquisition, or sale of assets.
16.5 Modifications
We may modify these Terms at any time by posting the revised Terms on the Platform. Material changes will be notified via email or prominent notice on the Platform at least 30 days before taking effect. Your continued use after changes take effect constitutes acceptance.
16.6 Language
These Terms may be provided in multiple languages. In case of any discrepancy, the English version shall prevail for business Users. For consumers, the version in your local language shall prevail.
